Welcome to ZenMasta ERP, a cloud-based enterprise resource planning system provided by ZenMasta LLC. By accessing and using ZenMasta ERP, you agree to comply with these Terms of Use (the "Agreement"), which govern your access to and use of the ZenMasta ERP website (https://zenmasta.com/) and any related services offered by ZenMasta LLC.

1. DEFINITIONS

• "ZenMasta ERP" refers to the cloud-based enterprise resource planning system provided by ZenMasta LLC.
• "User" refers to any person who accesses or uses ZenMasta ERP.

2. USE OF ZENMASTA ERP

2.1 Eligibility

ZenMasta ERP is intended solely for use by businesses and organizations. By using ZenMasta ERP, you represent and warrant that you are authorized to use it on behalf of such businesses and organizations and have the authority to bind them to this Agreement.

2.2 Access

ZenMasta LLC grants you a limited, non-exclusive, non-transferable, and revocable license to access and use ZenMasta ERP for the purpose of managing your business operations.

2.3 Account

To access ZenMasta ERP, you must create an account and provide accurate and complete information. You are solely responsible for maintaining the confidentiality of your account information and for all activities that occur under your account.

2.4 Restrictions

You agree not to use ZenMasta ERP for any illegal or unauthorized purpose or to engage in any activity that violates this Agreement. You also agree not to modify, adapt, or hack ZenMasta ERP, nor to create derivative works based on it. You agree not to use ZenMasta ERP to upload, transmit, or distribute any content that is unlawful, defamatory, obscene, or offensive.

2.5 Support

ZenMasta LLC will provide reasonable technical support for ZenMasta ERP to users who have paid for such support. Support will be provided via email or telephone during normal business hours.

2.6 Changes

ZenMasta LLC may modify or discontinue ZenMasta ERP at any time, without notice, and without liability to you or any third party. ZenMasta LLC may also update this Agreement from time to time. Your continued use of ZenMasta ERP after any such changes to this Agreement constitutes your acceptance of the changes.

3. OWNERSHIP AND INTELLECTUAL PROPERTY

3.1 Ownership

ZenMasta ERP, including all software, code, and intellectual property rights, is owned by ZenMasta LLC and is protected by copyright, trademark, and other laws. You acknowledge and agree that ZenMasta LLC retains all right, title, and interest in and to ZenMasta ERP.

3.2 License

ZenMasta LLC grants you a limited, non-exclusive, non-transferable, and revocable license to use ZenMasta ERP for the purpose of managing your business operations, subject to the terms and conditions of this Agreement. This license does not grant you any rights to use ZenMasta ERP for any other purpose or to modify, distribute, or create derivative works based on it.

3.3 Feedback

If you provide ZenMasta LLC with any feedback, suggestions, or ideas regarding ZenMasta ERP, you hereby assign to ZenMasta LLC all rights in and to such feedback, suggestions, or ideas, and ZenMasta LLC shall be free to use, reproduce, disclose, and distribute them without any obligation or compensation to you.

4. DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY

4.1 Disclaimer of Warranties

ZenMasta ERP is provided "as is" and "as available" without any warranties or representations of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. ZenMasta LLC does not warrant that ZenMasta ERP will meet your requirements or that its operation will be uninterrupted or error-free.

4.2 Limitation of Liability

ZenMasta LLC shall not be liable to you or any third party for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with your use of ZenMasta ERP, including but not limited to damages for lost profits, lost data, or business interruption. This limitation of liability applies whether or not ZenMasta LLC has been advised of the possibility of such damages.

5. INDEMNIFICATION

You agree to indemnify and hold harmless ZenMasta LLC and its affiliates, officers, agents, and employees from any claim, demand, or damages, including reasonable attorneys' fees, arising out of or in connection with your use of ZenMasta ERP, your breach of this Agreement, or your violation of any law or the rights of any third party.

6. TERMINATION

ZenMasta LLC may terminate this Agreement and your access to ZenMasta ERP at any time, with or without cause, and without liability to you or any third party. Upon termination, you must immediately cease all use of ZenMasta ERP and destroy all copies of ZenMasta ERP in your possession.

7. GOVERNING LAW AND DISPUTE RESOLUTION

7.1 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles.

7.2 Dispute Resolution

Any dispute arising out of or in connection with this Agreement or your use of ZenMasta ERP shall be resolved by binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association. The arbitration shall take place in San Francisco, California. The arbitrator's award shall be final and binding, and may be entered as a judgment in any court of competent jurisdiction. The prevailing party in any such arbitration shall be entitled to recover its reasonable attorneys' fees and costs.

8. MISCELLANEOUS

8.1 Entire Agreement

This Agreement constitutes the entire agreement between you and ZenMasta LLC regarding your use of ZenMasta ERP and supersedes all prior agreements and understandings, whether written or oral.

8.2 Assignment

You may not assign or transfer this Agreement, in whole or in part, without the prior written consent of ZenMasta LLC. Any attempted assignment or transfer in violation of this provision will be null and void.

8.3 Waiver and Severability

The failure of ZenMasta LLC to enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision. If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall be enforced to the fullest extent possible, and the remaining provisions of the Agreement shall remain in full force and effect.

8.4 Notices

All notices, requests, and other communications under this Agreement must be in writing and addressed to ZenMasta LLC at its principal place of business, or to you at the address provided by you during the registration process. Notices will be deemed to have been duly given when received, if personally delivered; when receipt is electronically confirmed, if transmitted by email; the day after it is sent, if sent for next day delivery by recognized overnight delivery service; and upon receipt, if sent by certified or registered mail, return receipt requested.

8.5 Changes to this Agreement

ZenMasta LLC reserves the right to modify or update this Agreement at any time, without prior notice to you. Your continued use of ZenMasta ERP following any such modification or update constitutes your acceptance of the revised Agreement.
